Our client is a boutique law firm providing legal and corporate advisory support to Japanese and Singapore clients. They are seeking a dedicated Company Secretary to provide corporate secretarial and compliance support for Singapore-incorporated companies, including the establishment and ongoing management of Corporate Service Provider (CSP) requirements.1. CSP Registration & Business Setup- Lead the process of registering companies with ACRA as a Corporate Service Provider (CSP).- Review and establish the requirements, procedures and internal framework necessary for CSP registration.- Ensure compliance with requirements relating to a Registered Qualified Individual (RQI).- Liaise with ACRA and other relevant regulatory authorities and manage the necessary applications.- Develop and maintain an internal compliance framework in accordance with the Corporate Service Providers Act and other applicable regulations.- Develop and implement internal policies and workflows relating to AML/CFT, KYC/CDD, sanctions screening, risk assessments and other applicable compliance requirements.- Manage ongoing regulatory and compliance obligations following CSP registration.2. Company Secretarial ServicesThe successful candidate will provide corporate secretarial services primarily for Singapore-incorporated companies, including:- Acting as Company Secretary and performing related statutory and corporate secretarial duties.- Preparing and submitting statutory filings through ACRA/Bizfile.- Preparing and filing Annual Returns.- Managing changes relating to Directors, Company Secretaries, Shareholders and other corporate officers.- Updating Registered Office addresses and other company information.- Handling Share Allotments, Share Transfers and other share-related matters.- Preparing documentation and completing procedures relating to AGMs, EGMs and Board Meetings.- Preparing Directors’ Resolutions, Shareholders’ Resolutions and other corporate documents.- Handling amendments to Constitutions and other corporate governance matters.- Maintaining Statutory Registers, Minute Books and other corporate records.- Handling Striking Off applications and other procedures relating to the closure or winding-up of companies.- Managing beneficial ownership registrations and other statutory filings.

The role ensures contracts, policies, SOPs, and corporate documentation are properly maintained, while facilitating communication and follow-up to ensure projects, compliance initiatives, and legal matters are completed in a timely and organised manner.
